1. Acceptance of Terms

By accessing or using any product or service operated by Wymzy Industries LLC ("Wymzy," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our products.

These Terms apply to the Wymzy Suite, a unified platform hosted at app.wymzy.ai and made up of the following product modules:

Individual product modules may have additional terms specific to their features. Where product-specific terms conflict with these company-level Terms, the product-specific terms govern for that product.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the affected product. Your continued use of any Wymzy product after changes take effect constitutes acceptance of the revised Terms.

2. Description of Services

Wymzy Industries LLC builds and operates the Wymzy Suite, a web platform for small businesses. Our tools include business profile management, AI receptionist and call handling, cloud storage, social media scheduling, digital business cards, receipt scanning, local delivery ordering, invoicing, appointment booking, email and SMS campaigns, customer contact management, inventory, loyalty programs, a unified inbox, and website content management.

Each product module has its own features and functionality as described within the Suite. Some modules require connecting third-party accounts (such as Google, Microsoft, or Meta) to operate — see Section 5 and our Privacy Policy for details.

3. Accounts

You must create a single Wymzy account at app.wymzy.ai to access any product module. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information when creating your account. You agree not to share your account access with others or allow unauthorized use of your account.

You must be at least 13 years of age to use any Wymzy product. If you are under 18, you represent that you have your parent or guardian's consent.

4. Subscriptions, Billing & Cancellation

The Wymzy Suite uses bundle pricing: you pay for each product module you enable, and the total is discounted when you enable multiple modules. Specific per-module pricing is displayed within the billing page of your Wymzy account.

Billing

All payments are processed through Stripe. By subscribing, you authorize Stripe to charge your payment method according to the terms of your plan on a recurring basis. We never have access to your full credit or debit card number.

For Pawpaw, we use Stripe Connect (Express) so that payments made to your customers flow directly through your connected Stripe account. Our role is limited to facilitating that connection and presenting your invoices and payment pages.

Cancellation

You may cancel any product module at any time from your billing page. Upon cancellation, that module remains active through the end of your current billing period. You will not be charged again for that module after cancellation.

Refund Policy

We do not offer refunds for partial billing periods. When you cancel a module, you retain access to that module's features through the end of the current billing cycle. No prorated refunds will be issued. Duplicate charges, billing errors, and unauthorized charges are refunded as described in our Refund & Cancellation Policy.

Price Changes

We reserve the right to change pricing for any product module. If we do, we will provide at least 30 days' notice before the new price takes effect. Your continued subscription after the new price goes into effect constitutes acceptance of the updated pricing.

5. Connected Third-Party Accounts

Certain product modules require you to connect a third-party account ("Connected Account") in order to function. By connecting a Connected Account, you grant Wymzy permission to access that account on your behalf, solely to deliver the features of the module you are using.

• Foxfire — connects your Google Business Profile account to read and manage your business listing, reviews, and posts.
• Muscadine — connects Facebook, Instagram, Google Business Profile, or similar platforms to publish content you schedule.
• Honeybee — connects Gmail, Microsoft Outlook, or Twilio to read and send messages on your behalf so you can manage your inbox in one place.
• Pawpaw — connects your Stripe account via Stripe Connect to receive customer payments directly.

You may disconnect a Connected Account at any time from within the relevant module. Disconnecting revokes our ability to access that account going forward. Cached data already retrieved may persist according to our Privacy Policy retention terms.

6. User Content

You retain full ownership of all content you upload, create, or provide through any Wymzy product ("User Content"), including text, images, files, documents, invoices, bookings, receipts, contacts, inventory records, website content, and all other materials.

By using our products, you grant Wymzy Industries LLC a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service. This license exists only to enable us to deliver the features of our products. This license terminates when you delete your content or your account.

You represent and warrant that you own or have the necessary rights to all User Content you provide, including third-party contact data (such as customer names and emails entered into Dragonfly or Cattail), and that your content does not infringe on the intellectual property rights or other rights of any third party.

7. Acceptable Use

You agree not to use any Wymzy product to:

• Upload, publish, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Send unsolicited marketing (spam) via Crawdad or any other communication tool without the recipient's consent as required by CAN-SPAM, TCPA, GDPR, and other applicable laws
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity
• Distribute phishing links, malware, or any other harmful or deceptive material
• Attempt to gain unauthorized access to any Wymzy product, other accounts, or any systems or networks connected to our products
• Use any Wymzy product for any illegal purpose or in violation of any applicable law
• Interfere with or disrupt the operation of any Wymzy product
• Scrape, crawl, or use automated means to access any Wymzy product without our express written permission
• Upload content that infringes on any patent, trademark, trade secret, copyright, or other proprietary right of any party

We reserve the right to remove any User Content and suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

8. Intellectual Property

The Wymzy Industries name, logo, branding, and all proprietary technology underlying our products are the exclusive property of Wymzy Industries LLC. The names Foxfire, Mudpuppy, Bullfrog, Muscadine, Yellowjacket, Sassafras, Katydid, Pawpaw, Junebug, Crawdad, Dragonfly, Nightjar, Cattail, Honeybee, and Mayhaw are trademarks of Wymzy Industries LLC.

You may not copy, modify, distribute, sell, or lease any part of our products or their underlying software, nor may you reverse-engineer or attempt to extract the source code, unless applicable law permits it or you have our written consent.

9. Termination

You may stop using any Wymzy product and delete your account at any time from your account settings. Upon account deletion, your User Content will be permanently removed from our servers within 30 days.

We may suspend or terminate your access to any Wymzy product at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or requests by law enforcement.

Upon termination, your right to use the product ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and governing law.

10. Disclaimers

OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that any product will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any content available through our products, including content generated by AI features (such as Sassafras receipt extraction or Foxfire AI-written replies).

You use our products at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WYMZY INDUSTRIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use any Wymzy product
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of any product
• Any bugs, viruses, or other harmful code transmitted through any product by any third party
• Any content or conduct of any third party on any product

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO ANY WYMZY PRODUCT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $50.00, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wymzy Industries LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of any Wymzy product, your User Content, or your violation of these Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or any Wymzy product shall be brought exclusively in the state or federal courts located in Union County, Arkansas.

Before filing any claim, you agree to first contact us at info@wymzy.ai and attempt to resolve the dispute informally for at least 30 days.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and Wymzy Industries LLC regarding your use of our products, and supersede any prior agreements.
